BioThera Solutions Inc. is a corporation organized under the laws of the Province of Ontario, Canada, with its principal place of business in Ottawa, Ontario. We are a biotechnology company that researches, develops and manufactures extracellular vesicle technology.

The Website provides general information about BioThera, our technology, our research and the extracellular vesicle field. We do not sell products to consumers, take orders, accept payment or ship products through the Website.

Nothing on the Website is an offer to sell, or a solicitation of an offer to buy, any product or service. Any supply of material, licence, collaboration or other commercial arrangement with BioThera exists only under a separate written agreement signed by an authorized representative of BioThera.

Summaries of the scientific literature describe published research in general terms. They are not claims about the effects of any particular product.

Some information on the Website concerns products sold by third parties, including Vesera™, a skincare company to which BioThera licenses its technology for cosmetic applications. BioThera is not the seller of those products. To the fullest extent permitted by law, our total liability arising out of or relating to the Website or these Terms will not exceed one hundred Canadian dollars (CAD 100). Because the Website is provided free of charge, you agree that this limit is reasonable.

Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including liability for fraud or for death or personal injury caused by negligence, or any rights you have as a consumer that cannot be waived.

To the extent permitted by law, you agree to indemnify and hold harmless BioThera and its directors, officers, employees, advisors and agents from any claims, losses, liabilities, damages and expenses, including reasonable legal fees, arising out of your misuse of the Website, your Submissions, or your breach of these Terms or of any law or third-party right.

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict of laws rules. Subject to any non-waivable right you have to bring proceedings where you live, you agree to the exclusive jurisdiction of the courts of the Province of Ontario sitting in Ottawa for any dispute arising out of or relating to the Website or these Terms.

These Terms are written in English. Any translation is provided for convenience only, and if there is any inconsistency, the English version governs to the extent permitted by law.
